Terms and Conditions
1. Introduction
Welcome to Invisualight, your trusted IT software reseller. These Terms and Conditions ("T&C") govern your purchase and use of software licenses and related digital products. By engaging with us or placing an order, you agree to these terms. For specific details regarding bulk or portal-based orders, please refer to our Product and Goods T&Cs.
2. Definitions
"Company": Invisualight Ltd (Company No. 14373799).
"Client": The individual or entity purchasing software products or services.
"Products/Goods": IT software licenses, digital keys, hardware, and related deliverables.
"Vendor": The third-party developer, licensor, or manufacturer of the Products.
3. General Terms & Reseller Status
Scope: Invisualight provides reselling of IT software solutions, consultative insights, and secure delivery of licenses.
Vendor Dependency: The Company acts strictly as an intermediary. All Products are supplied subject to the Vendor’s terms and EULA. The Company is not liable for Vendor outages, service modifications, or licensing changes imposed by the Vendor.
4. Quotes, Ordering, and Payment
Quotes: All quotes are valid for 7 days from the date of issuance and are subject to Vendor pricing or exchange rate fluctuations.
Ordering: Orders are irrevocable once accepted and provisioned.
Payment Terms: Payment is due within 15 days of the invoice date unless otherwise agreed in writing.
Arrears: Late payments may result in the immediate suspension of software licenses and may accrue interest at 4% above the Bank of England base rate.
5. Delivery and Licensing
Delivery: Digital licenses are deemed delivered upon provisioning or issuance of access keys, regardless of when the Client activates them.
Licensing: The Company does not grant any rights beyond those specified in the Vendor’s End-User License Agreement (EULA). The Client contracts directly with the Vendor for usage rights.
6. Returns, Refunds, and Support
Final Sale: Due to the digital nature of software licenses, all sales are final. No refunds are provided once a license has been provisioned.
Technical Support: The Company provides guidance on selection but does not offer ongoing technical troubleshooting. Clients must contact the original Vendor for product-specific technical assistance.
7. Client Responsibilities
Clients must provide accurate information, maintain their own cybersecurity and backup protocols, and comply strictly with Vendor EULAs and local laws.
8. Limitation of Liability
The Company’s total aggregate liability shall not exceed the total fees paid by the Client in the 12 months preceding a claim. We are not liable for indirect losses, data corruption, or damages resulting from Vendor failures.
9. Non-Disclosure & Confidentiality
Both parties agree to protect "Confidential Information" (including pricing, business plans, and software specifications). Information shall not be disclosed to third parties without prior written consent.
10. Restrictive Covenant
Clients agree not to engage in activities that directly compete with the Company for 12 months following an engagement, including the unauthorised resale of solutions obtained through the Company or using consultative insights to establish a competing business.
11. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes will be resolved in the exclusive jurisdiction of the English courts.
